By ticking the acceptance checkbox at purchase and completing payment, this Agreement is binding from your purchase date. If there is any inconsistency between these terms and the payment platform terms, this Agreement prevails.
Updates to product documentation or user guides do not amend this Agreement unless expressly accepted by you. Updated Agreement versions apply to new purchases only.
MXM Institute grants you a non-exclusive, non-transferable, perpetual (unless terminated) licence to: use the Product for your own internal WHS management; customise the Product with your business details (keeping all copyright notices and SafeBase attribution); distribute Customised Outputs internally; and use the AI prompts with a third-party AI tool.
You must not: provide WHS consulting services to any third party using the Product; share, resell, or transfer the Product; use it for any entity other than the one identified at purchase; remove copyright notices or attribution; claim ownership of the Product; or copy, adapt, extract, reverse engineer, repackage, or use any substantial part of the Product to create or supply a competing WHS template system, document suite, dashboard, portal, digital product, or substantially similar product.
Available to persons and entities who provide WHS consulting or implementation services to clients in the course of a business. Each client implementation requires a separately purchased Client Implementation Pack with a unique Licence Key. Clients receive Customised Outputs only — not the underlying SafeBase system files. Attribution: "Powered by SafeBase WHS System — MXM Institute."
Each client implementation requires a separately purchased Client Implementation Pack. The Consultant Base Licence alone does not authorise any client implementation.
MXM Institute may, no more than once in any 12-month period (unless misuse is reasonably suspected), request evidence limited to: Licence Key, client ABN, implementation date, and number of implementations. MXM Institute must keep audit information confidential and use it only for licence compliance or enforcement.
Reusing a single Licence Key for more than one client is a material breach. MXM Institute may require purchase of the additional packs that would have been required. Suspension or termination of the Consultant Base Licence applies only for deliberate, repeated, or unremedied breach, or for unauthorised resale or substantial misuse.
A Licence Key may transfer with a client business sold as a going concern, provided MXM Institute is notified within 30 days.
All IP in the SafeBase WHS System remains owned by MXM Institute. You own your original contributions to a Customised Output only. MXM Institute warrants that, to its knowledge at your purchase date, the Product does not infringe any third-party IP. This warranty does not cover infringement arising from your modifications, combination with third-party materials, or use outside the permitted scope.
MXM Institute does not warrant that the Product will be suitable for your particular workplace, industry, jurisdiction, risk profile, or audit requirements unless expressly agreed in writing.
Subject to ACL rights and Excluded Claims, MXM Institute's total liability is limited to the amount you paid for the relevant product. MXM Institute is not liable for indirect, consequential, or punitive losses. Excluded Claims (defined in clause 1) are not subject to this limitation.
Licences are perpetual unless terminated. Material breaches include: unauthorised resale; use outside your licence tier; deliberate Licence Key reuse; removal of attribution to misrepresent ownership; or copying SafeBase to create a competing digital product. MXM Institute gives 14 days' notice to remedy where the breach is capable of remedy.
MXM Institute may discontinue selling, supporting, or updating the Product at any time. Discontinuation does not terminate any perpetual licence already granted. Termination of a Consultant Licensee's licence does not automatically invalidate Customised Outputs already delivered to Clients under valid Licence Keys before termination.
Good faith negotiation, then mediation (Queensland Law Society appointee). Mediator costs shared equally. Nothing prevents regulatory complaints, ACL rights, or tribunal proceedings.
